Acceptance of these terms

  1. These terms of use (the “Terms”) are an agreement between you and holders.pro (“we”, “us”) about your use of holders.pro, its API and the automated service behind them (together, the “Service”). They apply from the date shown at the top of this page.
  2. By connecting a wallet, signing in, or creating, funding or approving anything on the Service, you accept these Terms, the risk disclosure and the description of the Service in the docs. If you do not accept them, do not use the Service.

Eligibility and sanctions

  1. You may use the Service only if all of the following are true:

    • you are at least 18 years old, or the age of majority where you live if that is higher, and can enter a binding contract;
    • you are not on a sanctions list, owned or controlled by someone who is, or acting for them;
    • using the Service is legal where you are.
  2. It is up to you to check that you may use the Service where you are and under the sanctions rules that apply to you. We do not make that check for you.
  3. If you use the Service for a company or another entity, you confirm that you may bind it.

What the service is

  1. The Service is software that runs automated market makers, called holders, for coins on BNB Chain. A holder is a treasury plus one to ten trading wallets that buy and sell one coin by rules its owner chooses.
  2. You can launch a new coin on four.meme with a holder attached, in which case the coin’s tax goes to a FeeSplitter contract that splits it between the holder and us, or you can attach a holder to an existing coin and fund it with a deposit. What each holder does is published on the Service.
  3. We are not an exchange, a broker, a bank, a payment service or an investment adviser. We are not affiliated with four.meme, PancakeSwap, BNB Chain or Binance. We may add, change or remove features at any time.

No advice and no fiduciary duty

  1. Presets, defaults, examples, leaderboards and everything else on the Service describe how the software behaves. They are not advice about what you should do. Nothing on the Service is investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any coin.
  2. We do not act as your fiduciary, agent or adviser. You choose a holder’s settings and you decide whether and how much to fund it. Past results of any holder or preset say nothing about future results.

Your wallet and the holder wallets

  1. Owner wallet. You connect your own wallet (the “owner wallet”) and keep sole control of it. We never ask for your seed phrase or private key; anyone who does in our name is not us. You sign in with a message your wallet signs (Sign-In with Ethereum). Whoever controls your owner wallet can instruct your holders, so keeping it safe is your responsibility.
  2. Holder wallets. For each holder we generate and operate the private keys of its treasury and trading wallets. Those keys stay inside our signing service and are not handed to anyone, you included. The BNB and tokens in those wallets are under our technical control so that the holder can trade them by your settings.
  3. Permitted transfers. Our signer only sends them to your owner wallet, the holder’s own wallets, our FeeVault or the trading venues, as the trust model describes. You take balances out through payouts, Withdraw capital and Close.
  4. No protection scheme. These balances are not insured and are not covered by any deposit protection scheme.

Owner instructions and approvals

  1. You instruct a holder through the Service. Changing settings, resuming, liquidating, closing, reopening, withdrawing capital and changing wallets each need an EIP-712 approval signed by your owner wallet. An approval works once and expires after 5 minutes. Pausing and withdrawing payable need only a signed-in session.
  2. We treat every validly signed approval, and every action taken in a valid session, as your instruction, so read what your wallet shows before you sign.
  3. We may refuse, delay or not complete an instruction that fails our checks, that would break the law or these Terms, or that arrives while the engine is in a restricted mode. Execution depends on the chain and the venues, so we cannot promise a price, a time or a result.

Prohibited use

  1. You must not use the Service to:

    • manipulate a market, including wash trading, spoofing, coordinated pump-and-dump schemes or fake volume, for example by setting up several holders to trade against each other;
    • launch a coin whose name, ticker, image or description is unlawful, infringes someone’s rights, impersonates a person, project or brand, or misleads buyers;
    • launder money, finance terrorism, evade sanctions or hide where funds come from;
    • attack, probe or overload the Service, its contracts or its infrastructure, or exploit a bug instead of reporting it;
    • get around limits, quotas or rate limits.
  2. We may refuse a launch, pause or close a holder and suspend access when we reasonably believe one of these has happened.

Fees

  1. The fees are explained in the docs and are currently:

    • for a coin launched on the Service, 80% of each creator-tax dispatch to the holder’s treasury and 20% to our FeeVault, a split fixed in the coin’s FeeSplitter that nobody can change;
    • a profit fee of 20% of the realized trading profit of every holder, paid to our FeeVault;
    • venue fees (1% on the four.meme curve and 0.25% on PancakeSwap), the coin’s own tax (on coins launched here 1% on buys and 1% on sells) and gas. Third parties charge these, and the holder’s wallets pay them.
  2. We charge nothing to launch a coin, to add a holder, or on deposits, payouts and withdrawals.
  3. We may change fees that are not fixed on chain for the future, with notice as set out in section 16. You are responsible for any taxes on your use of the Service.

Risks

  1. You can lose all the money you put into a holder. The main risks are listed here and explained in the risk disclosure, which forms part of these Terms:

    • memecoins are extremely volatile and can become worthless;
    • automated rules can lose money, and a take-profit only happens when a sale clears its costs;
    • the contracts are not audited by a third party;
    • four.meme, PancakeSwap and BNB Chain can change, fail or be congested;
    • the holder wallets are custodial and depend on our systems;
    • creator rewards arrive only when the coin dispatches its tax.

Third-party services

  1. The Service depends on services we do not control, including BNB Chain and its validators, four.meme (its website, API, sign-in and TokenManager2 contract), PancakeSwap, your wallet software, Reown and WalletConnect, the RPC providers we use to read and write the chain, Chainlink price feeds, DexScreener charts and BscScan. Their own terms apply to your use of them.
  2. They can change, add fees, go offline or fail without notice, and we are not responsible for them.
  3. When you sign the four.meme sign-in message during a launch, you let us use that session once to create your coin on four.meme on your behalf.

Suspension, engine modes and termination

  1. We may switch the engine, for everyone or for one holder, to dry run (nothing is signed), unwind (only sells, stop-losses, liquidations, harvests and payouts) or off, at any time and without notice when we judge it necessary for safety, security, legal reasons or maintenance. Some of these switches happen automatically. We may also stop buys on a venue whose contracts change.
  2. We may suspend or end your access if you break these Terms, if the law requires it, or if your wallet is linked to sanctions or crime.
  3. You may stop using the Service at any time by closing your holders. A holder that is never funded closes by itself after 24 hours.
  4. When access ends, we will try to return the balances of your holders to your owner wallet, unless the law or a sanctions rule prevents it.

Intellectual property

  1. The Service, its software, design and text, and the holders name and logo belong to us or our licensors. You may use the Service for its intended purpose. You may not copy, resell or rebuild it.
  2. You keep the rights to the name, ticker, image, description and links you submit for a coin. You let us store and display them and pass them to four.meme so that the coin can be created and shown, and you confirm that you may grant this. Whatever is published on chain stays public permanently.

Disclaimers

  1. The Service is provided “as is” and “as available”. To the extent the law allows, we give no warranty of any kind, express or implied, including that it will be available, free of errors, secure, accurate or fit for a purpose, or that any holder will make money.
  2. The contracts have not been audited by a third party. Data on the Service, including prices, balances and statuses, can be delayed or wrong.
  3. Blockchain transactions are final: we cannot reverse a trade, a transfer or a mistake.

Limitation of liability

  1. To the extent the law allows, we are not liable for indirect, incidental, special or consequential loss, or for lost profits, coins, data or opportunities, however caused. This includes losses from market moves, trading rules working as designed, third-party services, chain events, bugs and outages.
  2. Nothing in these Terms limits a liability that the law does not allow to be limited.

Indemnity

  1. You will compensate us and our officers, staff and contractors for any claim, loss or cost, including reasonable legal fees, that arises from your breach of these Terms or of the law, from the content you submit for a coin, or from your misuse of the Service.

Changes

  1. Changes. We may update these Terms. We will post the new version on this page with its date and, for changes that matter, give notice on the Service. Using the Service after a change takes effect means you accept it.
